1. Definitions

"CarDealerEngine," "we," "us," or "our" refers to CarDealerEngine LLC, the operator of cardealerengine.com.

"Dealer" or "you" refers to any automotive dealership or individual who registers for an account on our platform.

"Lead" refers to consumer contact information and financial profile submitted through our consumer-facing forms.

"Consumer" refers to an individual who submits a financing inquiry through our platform.

"Portal" refers to the dealer-facing dashboard at cardealerengine.com/portal.

2. Service Description

CarDealerEngine is a lead generation platform that connects automotive dealers with consumers seeking vehicle financing. We collect consumer inquiries, verify consent, and route leads to participating dealers based on geographic coverage and subscription plan.

We do not guarantee that any consumer will purchase a vehicle, qualify for financing, or complete a transaction with your dealership.

3. Account Registration & Eligibility

• You must be a licensed automotive dealer or authorized representative to create an account.
• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorized access to your account.
• Accounts are non-transferable and may not be shared with other dealerships.
• We reserve the right to reject or terminate any account at our sole discretion.

4. Subscription Plans & Billing

4.1 Plan Types

We offer the following plans, billed monthly:

• Starter: $399/month base fee + $35 per lead delivered (up to 30 leads/month)
• Growth: $799/month base fee + $28 per lead delivered (up to 80 leads/month)
• Scale: $1,499/month base fee + $22 per lead delivered (unlimited leads)

4.2 Billing Terms

• Monthly base fees are charged at the beginning of each billing cycle.
• Per-lead fees are charged as leads are delivered and billed at the end of each month.
• All fees are non-refundable except as described in Section 6 (Lead Credits).
• We reserve the right to modify pricing with 30 days written notice.
• Failure to pay may result in account suspension or termination.

4.3 Monthly Lead Caps

Each plan includes a monthly lead cap. Once your cap is reached, leads from your coverage area will be routed to other dealers until your cap resets at the beginning of the next billing cycle. Caps reset on the 1st of each calendar month.

5. Lead Delivery & Exclusivity

5.1 Exclusive Leads

Each lead is delivered to one dealer only. Once a lead is assigned to your account, it will not be sold or delivered to any other dealer. This exclusivity is enforced at the database level.

5.2 Geographic Routing

Leads are routed based on the consumer's zip code matching your registered coverage area. You may update your coverage zip codes from your account settings at any time.

5.3 Lead Data

Leads may include: name, phone number, email address, address, income, employment information, residence type, credit situation, down payment, and last 4 digits of Social Security Number (if provided by the consumer).

5.4 No Guarantee of Quality

While we make reasonable efforts to verify lead information, we cannot guarantee the accuracy, completeness, or quality of any lead. Consumer-provided information is not independently verified beyond TCPA consent capture.

6. Lead Credits & Refunds

You may request a lead credit within 72 hours of delivery for the following reasons only:

• Invalid or disconnected phone number and invalid email address (both must be invalid)
• Duplicate lead delivered to your account within the same 30-day period
• Consumer's zip code falls outside your registered coverage area
• Consumer states they did not submit a financing inquiry

Credits are applied to your next billing cycle. No cash refunds are issued. Base monthly fees are non-refundable. Credit requests are reviewed within 5 business days and approved or denied at our sole discretion.

7. Dealer Obligations & Conduct

7.1 Contact Requirements

• You must attempt to contact each lead within 5 business hours of delivery.
• Failure to contact leads consistently may result in reduced lead allocation or account review.
• You must make at least 3 contact attempts before marking a lead as lost.

7.2 Legal Compliance

You are solely responsible for ensuring all contact with consumers complies with:

• The Telephone Consumer Protection Act (TCPA)
• The CAN-SPAM Act
• The Fair Credit Reporting Act (FCRA)
• The Gramm-Leach-Bliley Act (GLBA)
• All applicable state and federal consumer protection laws
• Connecticut and any other state-specific privacy and telemarketing laws

7.3 Prohibited Actions

• Reselling leads — You may not sell, share, or transfer leads to any third party under any circumstances.
• Data harvesting — You may not use lead data to build marketing lists beyond direct follow-up for vehicle financing.
• Harassment — You may not contact consumers after they have requested to stop receiving communications.
• Misrepresentation — You may not misrepresent yourself, your dealership, or CarDealerEngine to consumers.
• Account sharing — You may not share your account credentials with other dealerships.

Violation of any prohibited action will result in immediate account termination without refund.

8. Team Members & User Accounts

Dealer admins may create sub-accounts for salespeople. Each sub-user is subject to these Terms. You are responsible for all actions taken by users under your dealer account. You may add or remove team members at any time from your portal settings.

9. Consumer Data & Privacy

Lead data provided to you is for the sole purpose of facilitating vehicle financing discussions with that specific consumer. You must:

• Store lead data securely and limit access to authorized personnel only
• Not retain consumer data longer than necessary for the financing transaction
• Honor all consumer opt-out and data deletion requests promptly
• Comply with our Privacy Policy as it relates to consumer data handling

10. Intellectual Property

All content, software, designs, trademarks, and systems on cardealerengine.com are the exclusive property of CarDealerEngine LLC. You may not copy, reproduce, or create derivative works without our express written permission.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT LEADS WILL RESULT IN SALES. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDEALERENGINE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 30 DAYS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless CarDealerEngine LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) any dispute between you and a consumer.

14. Termination

Either party may terminate the account at any time. You may cancel from your billing settings. We may terminate accounts for violation of these Terms, non-payment, or any reason at our sole discretion with or without notice. Upon termination, your access to leads and the portal ceases immediately. No refund of unused monthly fees is issued.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Hartford County, Connecticut, except that either party may seek injunctive relief in court for IP violations.

16. Changes to Terms

We may update these Terms at any time. We will notify you by email and post the updated Terms on this page. Continued use of the service after changes constitutes acceptance.
